The answer is yes: dist-upgrade will sometimes upgrade your kernel. In most cases, the kernel upgrades do not happen without explicit request, but in a major changeover, you will get updated.

Clearly this will not take effect until a reboot.

Your kernel will only be upgraded if you ask for it (i.e. by installing the
meta-package kernel-image-2.4 which always depend on the last 2.4 kernel).
