Microsoft arranged for Novell to give GNU/Linux to anyone with an MS voucher, and then proceeded to distribute those vouchers. Sounds like distribution to me (with a middle man which isn't legally relevant).
According to the GPLv3 lawyers, they're "procuring the distribution of" GPL'd software, and that requires permission from the copyright holder. So Microsoft are either distributing under the permissions which the GPL grants them, or they are violating copyright.
And, as I understand it, there's no time limit on those vouchers. Novell might have to declare the deal non-applicable (and thus the "protection" too) when they distribute GPLv3 software, or maybe Microsoft will have to make that declaration.

It might be, because for the first time i remember, 'something' is going to force the hand of Microsoft. It usually goes the other way around.
I don't believe that Novell will stop distributing GPLv3, only to appease M$. So Microsoft will drop the coupons, squeal treats, FUD about interoperability,... the usual when they lose on something... and or...
About this interoperability 'illusion' (miss a better word), i believe its about time to embrace and extend M$ deployments.
a) Most of shops have Windows Desktops and Servers.
b) Most of shops can have at least 1 OSS server (Linux...)
c) Samba and NFS are in the business for NAS so important for almost all organisations.
Solution:
Data Storage and or Database
. Use a OSS server implementation... Linux!?... of course
Application Server
. Put the Windows servers(application server) at second plan, with all the relevant applications for windows needed for the organization , in a separated machine because M$ will treat with license withdrawal if it runs on a VM.
. The server dosent need to have the organisation data storage with it, 'au contraire' it will be imperious that it don't. It cant be booted into it also (http://www.etherboot.org/wiki/index.php ) because M$ will retaliate.
.It is only to serve applications to clients in a standalone network administered fashion:
a) Interfaces to the applications will go trough a cgwin or Xorg(why not ?) NX server. (can be much improved !?)
b) Connects to the organization data storage trough a 'FUSE ON WINDOWS' (http://asbjorn.it/blog/2007/01/fuse-for-windows/ ) driver.(still on development)

There are good connectors.
Authentication
Use Samba or a LDAP server.
Clients/Desktops
Use native Linux Desktops where possible.

What can M$ do ?
. Cgwin(xorg ?), NX, 'Fuse on Windows' will be userspace applications, they cant do nothing but Automatic Update bombing them. So it is *intensely recommended* to use nlite( http://www.nliteos.com/ ) for a previous setting up, the GPLed xpy (http://xpy.whyeye.org/about/ ) for cleaning and Autopatcher (http://autopatcher.com/ ) for updates.
. With the so powerful machines 'we' have today, using user space applications will not be a problem.
. Does Microsoft hold patents to their authentication method ?... i bet it does. But inst Samba a clean-room implementation, ?... and it must obey a published protocol and API, which they(M$) are compelled by court of law to deliver, right ?... So i dont see M$ suing anyone over this anytime soon... unless if with their deals they are prepared to pull out a SCO stile coup, and claim breach of contract and ask for repairs... watch out Novell because it wont be patents !
In case of trouble there is always the alternative to run Microsoft in a subordinated separated network... feasible more and more each time that their presence on the organizations networks will be vanishing.

so the bottom line is that there isnt a need to wait for FUSE on windows to start the revolution. Not feasible in all parts, but feasible in many shops.

Taking their opinion as gospel would be naive.
The specific conditions here are tricky. If Microsoft is directly involved in the transaction between the third party and Novell, then maybe they could be judged to be a party to the license. If they are simply reimbursing the purchaser (as, for instance, Best Buy does when it redeems a store rebate), it would be much harder to find them entangled in the license terms. [IANAL]
The argument about the "or any later version" language is incorrect. Yes, a downstream distributor may choose to distribute under "any later version" if the author chose that language. That decision would bind that distributor and those to whom she distributes, but cannot percolate back upstream. However, on the "GPLv2 or any later version" question, I believe you are simply wrong, especially w/r/t to the patent question, since the FSF took the time to directly address the patent question in the FAQ: "No. When you convey GPLed software, you must follow the terms and conditions of one particular version of the license. When you do so, that version defines the obligations you have. If users may also elect to use later versions of the GPL, that's merely an additional permission they haveit does not require you to fulfill the terms of the later version of the GPL as well."
That says, quite clearly that someone distributing "GPLv2 or later" gets to choose which version to distribute under and that choice determines the distributor's obligations under the license. The recipient has the same privilege, with respect to its use and re-distribution, but cannot apply any obligations upstream other than those the software was conveyed under.
I think this is actually pretty clear in the actual license language: "you have the option of following the terms and conditions either of that numbered version or of any later version..." That is, you get to choose the terms and conditions YOU follow, not the terms and conditions anyone upstream must follow.
As you note, only the copyright owner can change the license terms, but those terms are "GPLv2 or any later version". The terms of the license then give any downstream conveyor the option of choosing the terms of its conveying, with that scope.

That clause simply says "...you have the option of following the terms and conditions either of that version or of any later version published by the Free Software Foundation". Now, when do such terms and conditions apply? Clause 0 sheds some light on this: "Activities other than copying, distribution and modification are not covered by this License; they are outside its scope."Thus, no terms or conditions apply to the act of receiving this software. They do apply to copying, distribution, and modification. Distribution is what we are concerned with in your illustrative example. Microsoft distributes gcc and elects to follow the terms and conditions of the GPLv2 in doing so. If Microsoft distributes to you, it must follow clauses 1, 2, and 3 (as applicable) of the GPLv2. Once it has done so, it has satisfied all its obligations to the copyright holder. Now you receive your copy of gcc via Microsoft. Microsoft has a license, the GPLv2, for distributing it to you, and you do not need a license to receive it (as clause 5 makes clear). However, you do have a license if you want it: clause 6 states that you get a GPLv2 license directly from the original licensor, in this case the FSF. If you accept that license, then you get the option under clause 9 of following the terms and conditions of the GPLv3 instead. Microsoft isn't even involved in that option, it's an option you get from the original licensor and it covers your right to copy, distribute, or modify.

No, you have received a piece of "GPLv2 or any later version" software, which is critically different from "a piece of GPLv3-covered software".
Suppose, for a moment, GPLvn required that distribution be only in CD format and version GPLvn+1 required that distribution be only in DVD format. Someone conveying could choose which set of terms to follow and, therefore, which format had to be provided. You, as recipient, would have no right to insist on any format other than what the distributor chose to provide.
And that's the way it goes with the patent clauses. GPLv2 carries different patent license/covenant conditions than GPLv3. The distributor chooses which apply to a particular distribution. The recipient is stuck with what the distributor chose.
There is no reason to assume that Microsoft has distributed any software *under the terms of GPLv3*.

Note that I did not say that the redistributor passes along only certain rights. In fact, I said the opposite - the recipient gets to choose between the available license versions to determine what rights, otherwise reserved to the copyright holder, the license grants to the recipient.
As you say, the redistributor does not get to "set the terms for the distribution"; the copyright holder does that. However, if the copyright holder used the "or any later version" language, the redistributor gets to *choose* between the available alternative sets of terms. That is exactlly what the license says and the FAQ confirms.
The redistributor gets to choose one specific license version to define the terms under which it conveys the covered work. Those terms define the redistributor's obligations under the license, including the patent license implications.
Again, I do not believe that Microsoft has ever distributed a work under the terms of GPLv3, which seems to be the operative question.

I think you're wrong in saying that a redistributor cannot choose the terms of the distribution. Since that distribution must be in accord with the terms and conditions of the license, the redistributor MUST choose which set of terms and conditions to satisfy.
The original question, though, was about how this affects Microsoft and whether they have "distributed GPLv3 software". I don't think that distributing "GPLv2 or any later version" is tantamount to "distributing GPLv3", regardless of it allowing the user to choose the terms she accepts it under.
That is, the "GPLv2 or any later" option allows the redistributor to choose which version's terms it has to satisfy in further conveying and then allows the recipient to choose which version's terms govern its use and further conveying. Each conveyor and each recipient is free to make that choice because the copyright holder granted them permission to do so.
The point of my comments on "obligations" is that the impact on Microsoft (for instance, with respect to patents) would be an obligation, and therefore would not be affected by the user's choice of GPLv2 or GPLv3. I assumine that in conveying "GPLv2 or any later version" software, Microsoft would choose to follow the terms and conditions of GPLv2, which the license explicitly allows them to do.

Microsoft has more money than God. Some time in the future, they're going to see that the tipping point has been reached and Linux is going to overthrow Windows (assuming they don't suddenly do some extreme innovating in Windows and block us with patents).
Now, here's the most likely scenario for when that happens: Microsoft buys Novell lock-stock-and-barrell, and begins to hawk "Windows Linux" and takes back the market from Redhat, Ubuntu, Mandriva and the also-rans.
Yeah... that was supposed to make you mad. The real challenge is: how do you procede with the OS such that the market can never be dominated by one company?
That must be the goal, right? Everyone loved Windows before it was the 800lb gorrilla. Well... except us Mac and Amiga users. heheh

The thing which gives MS power today is that they *alone* can define, debug, change what Windows does. If Windows was available under the GPL then 95% of the political reasons for not using it would go away.
Longer term the technical reasons migth evaporate too, who knows ?
There's still the problmes of tivoization, webservices and patents. We're working on fixing those, GPLv3 is made primarily to combat these scenarios.

Hmm. While I know some people think they need defenses against those things and want to protect their software's freedom with those defenses, it's harder to see how those defenses help in fighting Windows. On the contrary, by limiting the ways GPLv3 software can be used in products and services, they potentially give Microsoft unopposed access to certain markets.
Saying "we don't want those markets, because they inherently deny freedom to users" is fine, so long as you recognize that Microsoft will be perfectly happy to run to the bank with the added business.
